Uplevel Athletics’ Digital Model Release

This Model Release relates to the use of personal media and images utilized for an artistic or commercial endeavor by and between Uplevel Athletics, Inc., a Delaware Corporation (herein, “Uplevel Athletics,”) and a Digital Model for the Uplevel Athletics, defined herein as a social media influencer, a brand ambassador, a model, an artist who is creating film/video, photography, digital photography, and other various forms of content. By submitting your images, videos, or any other artistic composition (herein collectively, “Images”) to Uplevel Athletics, the Digital Model acknowledges and agrees to the following terms:

For the valuable consideration of being part of the advertising campaigns featuring brand models and/or an ambassadors of Uplevel Athletics, the Digital Model hereby absolutely and irrevocably authorize the Uplevel Athletics as well as their legal representatives, assignees, and transferees to use, publish, reuse, republish, distribute, disseminate or otherwise make publicly available for any artistic or commercial use, including advertising, publication, or illustration Images of he/she/they or their property of the Images and/or likeness submitted to Uplevel Athletics. Further, the Digital Model understands, the Images submitted to Uplevel Athletics in whole or in part, whether individually or collectively with any other material, in any and all forms of media now or hereinafter known and/or developed including, but not limited to, in print media, in digital media, on the Internet, in composite images, or distorted images or for any other lawful use or the decision not to use as maybe determined by Uplevel Athletics, in their sole and exclusive discretion. This may include the use of the Digital Model’s likeness, any identifying information submitted to Uplevel Athletics, including but not limited to the use of any name, fictitious identity, social media handle, social media name or representation use without restriction.

The Digital Model further completely release and discharge Uplevel Athletics from any and all demands or claims that may arise out of or otherwise be connected with the use of the Images featuring the Digital Model or Digital Model’s property, including, without limitation, and any all claims in the nature of copyright infringement, defamation, disparagement, slander, false light, violation of the right of privacy or publicity, or the like. The Digital Model by submitting Images waive any and all rights to approve or otherwise review any lawful uses of the Images and video featuring their Images, likeness, social media handle featuring their property.

This authorization and release shall inure to the benefit of the legal representatives, licensees, heirs, and assignees of Uplevel Athletics and shall also be binding upon the Digital Model, their heirs, assignees, and legal representatives. The Digital Model hereby certify that he/she/they have read this consent and release, fully understand it contents and intend to be legally bound to it. If the Digital Model is under the legal age of majority for the applicable jurisdiction and as such, his/her/their parent/legal guardian is required to provide “parental consent” for participating in any and all activities related to Uplevel Athletics. Therefore, the Digital Model and/or their legal guardian herein grant the rights herein granted. The Digital Release shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

Uplevel Athletics reserve the right to require documentation if necessary, to verify the age and the information submitted.

By submitting to be a Digital Model, each party agrees to the terms and conditions set forth above as well as the Terms and Conditions of Uplevel Athletics, herein incorporated by reference. If any terms or conditions conflict with the Digital Release, these terms shall supersede the Terms and Conditions of Uplevel Athletics in reference to a Digital Model.
